Terms and Conditions

These Terms and Conditions ("Terms") govern your use of MedSure's medical billing and revenue cycle management services ("Services"). By using our Services, you agree to be bound by these Terms. Please read them carefully.
Important: These Terms constitute a legally binding agreement. If you do not agree to these Terms, please do not use our Services.
1. Acceptance of Terms
By accessing or using MedSure's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a healthcare practice or organization, you represent that you have the authority to bind such entity to these Terms.
2. Description of Services
MedSure provides comprehensive medical billing and revenue cycle management services, including but not limited to:
- Revenue Cycle Management (RCM)
- Medical billing and coding services
- Claims submission and processing
- Accounts receivable management
- Denial management and appeals
- Credentialing and enrollment services
- Prior authorization services
- Medical billing audits
- Reporting and analytics
3. Service Agreement
Services are provided pursuant to a separate written Service Agreement ("Agreement") that will be executed between MedSure and the client. The Agreement will specify:
- Scope of services to be provided
- Service fees and payment terms
- Term and termination provisions
- Performance standards and metrics
- Confidentiality and data security requirements
- HIPAA Business Associate Agreement terms
In the event of any conflict between these Terms and the Agreement, the Agreement shall prevail.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for billing services
- Maintain appropriate licenses and credentials
- Comply with all applicable healthcare laws and regulations
- Provide timely access to medical records and documentation
- Respond promptly to requests for information or clarification
- Pay all fees in accordance with the Agreement
- Maintain the security of your account credentials
- Notify MedSure immediately of any security breaches or unauthorized access
5. Payment Terms
Payment terms will be specified in your Service Agreement. Generally:
- Fees are typically based on a percentage of collections or a fixed monthly fee
- Invoices are issued monthly and payment is due within 30 days
- Late payments may incur interest charges as specified in the Agreement
- MedSure reserves the right to suspend services for non-payment
- All fees are non-refundable except as expressly provided in the Agreement
6. HIPAA Compliance and Data Security
MedSure is committed to HIPAA compliance and data security:
- We maintain a Business Associate Agreement with all clients
- We implement appropriate administrative, physical, and technical safeguards
- We conduct regular security assessments and audits
- We provide training to all personnel on HIPAA compliance
- We maintain SOC 2 Type II certification
- We promptly report any security incidents as required by law
7. Intellectual Property
All intellectual property rights in our Services, including software, processes, methodologies, and documentation, remain the exclusive property of MedSure. Clients retain ownership of their patient data and medical records.
8. Limitation of Liability
To the maximum extent permitted by law:
- MedSure's total liability shall not exceed the fees paid by the client in the 12 months preceding the claim
- MedSure shall not be liable for indirect, incidental, special, or consequential damages
- MedSure does not guarantee specific collection rates or revenue increases
- Clients are responsible for verifying the accuracy of all billing information
9. Termination
Either party may terminate the Agreement as specified in the Service Agreement. Upon termination:
- All outstanding fees become immediately due
- MedSure will provide a transition period as specified in the Agreement
- Client data will be returned or securely destroyed as requested
- Confidentiality obligations continue after termination
10. Dispute Resolution
Any disputes arising from these Terms or the Services shall be resolved through:
- Good faith negotiation between the parties
- Mediation if negotiation is unsuccessful
- Binding arbitration in accordance with the rules of the American Arbitration Association
- Jurisdiction and venue in Austin, Texas, United States
11. Changes to Terms
MedSure reserves the right to modify these Terms at any time. Material changes will be communicated to clients via email or through our website. Continued use of Services after changes constitutes acceptance of the modified Terms.
